The terms behind our website and services.
Effective date: October 31, 2026
These Terms of Service (the “Terms”) govern your access to and use of the MedCity Consulting website and the information, forms, and communications offered through it (collectively, the “Site”). By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.
MedCity Consulting is a trade name of Emperius, LLC, a Minnesota company (“MedCity Consulting,” “we,” “us,” or “our”). These Terms apply to the Site only. Professional services we provide are governed by a separate written engagement agreement, and your privacy is governed by our Privacy Policy.
1. Use of the Site
You may use the Site for lawful, personal, and business-informational purposes. You agree not to:
- Use the Site in any way that violates applicable law or regulation
- Attempt to gain unauthorized access to the Site, its systems, or related networks
- Interfere with or disrupt the operation, security, or integrity of the Site
- Introduce malware or any other harmful code
- Use automated tools to scrape, harvest, or collect information from the Site without our permission
- Submit false, misleading, or fraudulent information
We may modify, suspend, or discontinue any part of the Site at any time without notice.
2. No Professional Advice; No Client Relationship
The information on the Site is general in nature and is provided for informational purposes only. It is not, and should not be relied upon as, tax, legal, accounting, or financial advice for your specific situation.
Using the Site, submitting a form, or otherwise contacting us does not create a client, advisory, or fiduciary relationship. A professional relationship with MedCity Consulting begins only once we both sign a written engagement agreement that describes the scope of the work.
3. Professional Services
Any accounting, bookkeeping, payroll, tax, or advisory services we provide are governed by the engagement agreement between you and MedCity Consulting. That agreement — not the Site — controls the scope, fees, timing, and terms of the work.
Nothing on the Site is a guarantee of any particular result, outcome, refund, savings, or tax position. Descriptions of services on the Site are summaries and may change.
4. Information You Submit
When you submit information through the Site, you agree that it is accurate and that you are authorized to provide it. Please do not submit another person’s information without their permission.
Do not send Social Security numbers, financial account numbers, complete tax documents, or other sensitive information through our public website forms or by text message. Please use our secure client portal to exchange confidential information. See our Privacy Policy for more on how we handle information.
5. Text Messaging (SMS) Terms
MedCity Consulting offers SMS text messaging to communicate with clients and prospective clients who have opted in. By providing your mobile number and agreeing to receive text messages, you accept the terms in this section.
Program Description
If you opt in, we may send text messages related to:
- Appointment confirmations and reminders
- Responses to your inquiries
- Accounting and tax service communications
- Document requests and secure portal notifications
- Tax filing deadlines and other important reminders
- General updates regarding services you have requested
Consent
You may provide consent by selecting the SMS consent checkbox on our website, by requesting communication by text, or through another documented consent method. Providing a phone number does not automatically enroll you in text messaging. Consent to receive text messages is voluntary and is not a condition of purchasing or receiving any of our services.
Message Frequency and Rates
Message frequency varies depending on your interactions with MedCity Consulting and the services you receive. Message and data rates may apply depending on your mobile carrier and plan.
Opt-Out
You can cancel text messages at any time by replying STOP to any message from us. After you send STOP, we will send a final confirmation message, and you will no longer receive text messages from that number unless you opt in again.
Help
For help, reply HELP to any message, email info@medcityconsulting.com, or call 507-216-4228.
Carriers and Delivery
Mobile carriers are not liable for delayed or undelivered messages. Message delivery is subject to effective transmission by your mobile carrier and is outside our control.
Mobile Information
We do not sell, rent, or share mobile phone numbers, SMS opt-in information, or text messaging consent with third parties or affiliates for marketing or promotional purposes. SMS opt-in information and consent records are used solely to manage and provide our text messaging services, as further described in our Privacy Policy.
6. Privacy
Your use of the Site is also governed by our Privacy Policy, which explains how we collect, use, and protect the information you share with us. By using the Site, you acknowledge our Privacy Policy.
7. Intellectual Property
The Site and its content — including text, graphics, logos, and the MedCity Consulting name and marks — are owned by MedCity Consulting or its licensors and are protected by applicable intellectual-property laws. We grant you a limited, revocable license to view and use the Site for the purposes described in these Terms. You may not copy, reproduce, republish, or distribute Site content for commercial purposes without our prior written permission.
8. Third-Party Links and Services
The Site may link to third-party websites and tools, such as our client portal, QuickBooks Online, Gusto, and video conferencing. We provide these links for convenience and do not control and are not responsible for the content, privacy practices, or terms of third-party services. Your use of those services is governed by their own terms and privacy policies.
9. Disclaimer of Warranties
The Site is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, MedCity Consulting disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, secure, or that information on the Site is complete, accurate, or current.
10. Limitation of Liability
To the fullest extent permitted by law, MedCity Consulting and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or goodwill, arising out of or related to your use of the Site — even if advised of the possibility of such damages. Nothing in these Terms limits liability that cannot be limited under applicable law. This section does not apply to the professional services we provide under a signed engagement agreement, which addresses liability separately.
11. Indemnification
You agree to indemnify and hold harmless MedCity Consulting from any claims, losses, or expenses arising out of your misuse of the Site or your violation of these Terms.
12. Changes to These Terms
We may update these Terms periodically to reflect changes in our services, technology, business practices, or legal obligations. Updates will be posted on this page with a revised effective date. Your continued use of the Site after changes are posted means you accept the updated Terms.
13. Governing Law
These Terms are governed by the laws of the State of Minnesota, without regard to its conflict-of-laws rules. Any dispute relating to the Site or these Terms will be subject to the exclusive jurisdiction of the state and federal courts located in Olmsted County, Minnesota, to the extent permitted by law.
